These Terms & Conditions (“Terms”) govern your access to and use of the services, websites, and applications provided by Ziporen(“Ziporen”, “we”, “us”, “our”). By creating an account or using our services, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use Ziporen.
1. Who we are
Ziporen operates in the United Kingdom and is the controller of personal data processed in connection with the Services. Contact: contact@ziporen.com.
2. The Services
Ziporen provides AI-assisted creative tools (e.g., YouTube thumbnail generation), related hosting, and account features (the “Services”). We may add, change, or remove features at any time, including offering beta or experimental functionality.
3. Eligibility & accounts
- You must be at least 13 years old (or the age of digital consent in your region).
- You are responsible for your account credentials and all activity under your account.
- Provide accurate information and keep it updated.
4. Subscriptions, credits & billing
- We may offer paid plans and/or credit bundles (“Credits”) used to run generations or unlock features. Plan allowances reset per billing cycle as stated at purchase; unused allowances may expire at cycle end unless otherwise stated.
- Subscriptions auto-renew until cancelled. You can cancel at any time, but cancellations take effect at the end of the current billing period.
- Payments are processed by third-party providers (e.g., Stripe). By purchasing, you authorise the provider to charge your selected payment method, including taxes.
- Unless required by law or expressly stated, fees are non-refundable. Chargebacks or payment disputes may lead to immediate suspension or termination.
5. Acceptable use
You agree not to, and not to allow others to:
- Use the Services for unlawful content or activity, including harassment, hate, or abuse.
- Violate intellectual property or privacy rights.
- Reverse engineer, scrape at scale, or circumvent technical protections.
- Interfere with Service operation, security, or integrity.
- Use output to imply human authorship where laws require disclosure of AI involvement.
6. Your content
- You retain ownership of text, images, prompts, and other materials you upload (“User Content”). You grant Ziporen a worldwide, non-exclusive, royalty-free licence to host, process, display, and create derivative works from User Content as necessary to provide and improve the Services (including model safety and quality), subject to our Privacy Policy.
- You are responsible for obtaining rights and permissions for User Content and for complying with applicable laws.
7. AI outputs & attribution
- Subject to rights in underlying training data and third-party content, we assign to you any rights we may have in AI outputs you generate, to the extent permitted by law. You are responsible for your use of outputs (including ensuring they are lawful and non-infringing).
- Outputs may be inaccurate, incomplete, biased, or unsuitable for a particular purpose. Always review before use. You should not rely on outputs as professional advice.
- We may require that you include reasonable attribution or disclosures about AI assistance where legally required.
8. Intellectual property
- The Services, including software, models, interfaces, and branding, are owned by Ziporen or its licensors and are protected by law. We grant you a limited, revocable, non-transferable licence to use the Services in accordance with these Terms.
- You will not remove or alter proprietary notices, nor use our marks without permission.
9. Third-party services
We integrate third-party providers (e.g., Stripe for payments, Google Analytics, advertising pixels). Your use of those services may be subject to their terms and privacy policies. Non-essential tracking runs only with your consent; see our Cookie Policy.
10. Privacy
Our Privacy Policy explains how we collect and use personal data, your rights under UK GDPR, and how to contact us.
11. Beta features
Beta/experimental features are provided “as is” and may be changed, suspended, or removed at any time. They may be less reliable than generally available features.
12. Availability & changes
We strive for high availability but do not guarantee uninterrupted or error-free service. We may modify or discontinue the Services or any part of them with or without notice.
13. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that outputs will meet your requirements or be free from errors.
14. Limitation of liability
Nothing in these Terms limits liability that cannot be excluded under law (including liability for death or personal injury caused by negligence, or for fraud). Subject to the foregoing, Ziporen will not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits or revenue, loss of data, or business interruption. Our aggregate liability arising out of or relating to the Services shall not exceed the greater of (a) the amounts paid by you to Ziporen in the 12 months before the event giving rise to liability, or (b) £100.
15. Indemnity
You will defend, indemnify, and hold harmless Ziporen and its affiliates, officers, employees, and agents from and against claims, damages, liabilities, costs, and expenses arising from your use of the Services or your breach of these Terms.
16. Suspension & termination
We may suspend or terminate your access immediately for violations of these Terms, legal obligations, risk, non-payment, or to protect the Services. You may stop using the Services at any time. On termination, your licence ends and we may delete your data as described in our Privacy Policy and data retention practices.
17. Changes to these Terms
We may update these Terms from time to time. We will post changes here and update the “Last updated” date. Material changes may be notified by email or in-product notice. Continued use after changes means you accept the revised Terms.
18. Governing law & jurisdiction
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.
